The constitution of Therapeutic Guidelines Limited (TGL) stipulates that the Board of TGL shall comprise nine directors.

Directors hold office for two-year terms (commencing on the date from which the person consents to his/her appointment and concluding at the expiration of the second annual general meeting of the company following appointment).
 
The terms of three Directors positions are to be filled at this meeting and nominations for these positions are sought. The directors whose terms are due to expire at this meeting are Dr John Dowden, Mr Marcus Harvey and Mr Richard Kneebone. The retiring directors are entitled to be renominated and elected for a further term.

If you wish to be a candidate for one of these positions, nominations must be in writing on the TGL nomination form and signed by 2 members who are entitled to vote at the annual general meeting.

A list of the competencies that are considered to be critical and useful for directors is available.

Completed nomination forms must be accompanied by:
 a consent to act as a director,
 a curriculum vitae (not more than two A4 pages in length),
 the names of two referees, and
 a letter from the nominee (not more than 500 words) explaining how s/he meets the identified required skills/competencies and how s/he expects to be able to contribute to the Board.

A person who is an existing director of TGL is only required to provide consent to act as a director.

Nominations for election to the Board must be completed and delivered to the Chief Executive Officer of TGL in accordance with TGL’s nomination process by April 9, 2010.

All persons nominating shall have regard to TGL’s objects and the national character of TGL’s guidelines program.

Election
If more valid nominations are received than there are vacancies (i.e. more than three), then an election by ballot will be held at the annual general meeting.
